Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at neevcore.in and any NeevCore Technologies products and services including the DPDP Compliance Platform, NeevCore Service Desk, and NeevCore Visitor Management System ("Services"). By accessing or using our Services, you agree to be bound by these Terms.

If you are using the Services on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

1. Definitions

  • "NeevCore" refers to NeevCore Technologies, the provider of the Services.
  • "Customer" or "you" refers to the individual or organisation accessing or using the Services.
  • "Services" means the NeevCore website, software products, and professional services described at neevcore.in.
  • "Subscription" means your paid or trial access to NeevCore SaaS products.
  • "Customer Data" means data you upload, submit, or generate through the Services.

2. Access to Services

Subject to these Terms and payment of applicable fees, NeevCore grants you a limited, non-exclusive, non-transferable right to access and use the Services during your subscription period for your internal business purposes.

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Ensuring your use of the Services complies with applicable laws
  • Obtaining all necessary consents for any personal data you process through our Services

3. Subscriptions and Payment

Access to NeevCore SaaS products requires a paid subscription. Pricing, payment terms, and subscription periods are set out in your order form or subscription agreement.

  • Subscriptions auto-renew unless cancelled at least 30 days before the renewal date
  • Fees are non-refundable except as expressly stated in your subscription agreement
  • NeevCore may change pricing on 60 days' notice for renewals
  • Late payments may result in suspension of access

4. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law, including data protection laws, or these Terms
  • Process personal data without appropriate legal basis and consent
  • Upload malicious code, conduct denial-of-service attacks, or attempt to gain unauthorised access to our systems
  • Resell, sublicense, or provide access to the Services to third parties without NeevCore's written consent
  • Reverse engineer, decompile, or create derivative works from the Services
  • Use the Services to compete with NeevCore

5. Customer Data

You retain all rights in Customer Data. By using the Services, you grant NeevCore a limited licence to process Customer Data solely to provide the Services.

NeevCore will process Customer Data as a Data Processor under the DPDP Act and in accordance with our Data Processing Agreement, which forms part of the subscription agreement. We will not use Customer Data for any purpose other than providing the Services.

6. Data Security

NeevCore implements appropriate technical and organisational security measures to protect Customer Data. These include encryption, access controls, security monitoring, and regular vulnerability assessments. Details of our security practices are available in our Security Documentation upon request.

7. Intellectual Property

NeevCore and its licensors retain all intellectual property rights in the Services, including all software, designs, content, trademarks, and documentation. These Terms do not transfer any intellectual property rights to you.

You retain intellectual property rights in Customer Data and any content you create using the Services.

8. Confidentiality

Each party agrees to keep confidential the other party's non-public business information and to use it only for the purposes of these Terms. Confidentiality obligations survive termination of these Terms for 3 years.

9. Service Availability & SLA

NeevCore aims to provide 99.5% uptime for SaaS products, excluding scheduled maintenance and circumstances beyond our reasonable control. Service Level Agreements with specific uptime commitments and remedies are available in enterprise subscription agreements.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • NeevCore's total liability to you in any 12-month period shall not exceed the fees paid by you to NeevCore in the same period
  • Neither party shall be liable for indirect, incidental, consequential, or punitive damages
  • These limitations apply regardless of the form of action and even if a party has been advised of the possibility of such damages

11. Indemnification

You agree to indemnify, defend, and hold harmless NeevCore and its officers, directors, and employees from any claims, losses, or expenses (including legal fees) arising from: (a) your use of the Services in violation of these Terms; (b) your violation of any third party's rights; or (c) your violation of applicable law.

12. Term and Termination

These Terms remain in effect during your subscription period. Either party may terminate:

  • For convenience on 30 days' written notice
  • Immediately if the other party materially breaches these Terms and fails to cure within 30 days of notice
  • Immediately if the other party becomes insolvent or subject to insolvency proceedings

Upon termination, your access to the Services will cease. NeevCore will make Customer Data available for export for 30 days post-termination, after which it will be deleted in accordance with our data retention policy.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Delhi, India.

14. Changes to These Terms

NeevCore may update these Terms. We will provide at least 30 days' notice of material changes via email or a prominent notice in the Services. Continued use after the effective date of changes constitutes acceptance.

15. General

  • Entire Agreement: These Terms, together with any order form and Data Processing Agreement, constitute the entire agreement between the parties.
  • Severability: If any provision is unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without NeevCore's written consent. NeevCore may assign these Terms in connection with a merger or acquisition.
